AUDIENT ARC PROMOTION: TERMS AND CONDITIONS

These Terms and Conditions (the "Terms") govern your access to and use of the Audient Resource Centre ("ARC") and the websites operated by Audient ("the Company," "we," "us," or "our"), including audient.com and arc.audient.com (the "Service").

 

By accessing or using the Service, you ("the User") agree to be bound by these Terms. If you disagree with any part of these terms, you may not access the Service.

 

1. Eligibility and Registration Criteria

  • 1.1. Primary Eligibility: To participate in the ARC initiative, the User must possess a qualifying Audient product purchased through an authorised Audient dealer, verified by a valid and unique serial number and/or an accompanying unique pin number.
  • 1.2. Discontinued & "End of Life" Products:
    • Support Continuity: Users of discontinued or legacy products may continue to register their hardware to access official drivers, firmware updates, and technical documentation via the ARC portal.
    • Promotional Limitations: Eligibility for ARC promotional offers and third-party software bundles shall expire exactly one (1) year (12 months) following the date of Audient’s official "End of Life" (EOL) announcement for that specific product. Following this one-year grace period, the product serial number will no longer grant access to new or existing promotional offers, though hardware registration for support remains permitted.
  • 1.3. Second-Hand Products: Products purchased via secondary markets remain eligible for driver access and associated support services.
  • 1.4. Promotional Redemption: Registered second-hand users may be eligible for partner offers, subject to the specific terms and conditions provided by the third-party partner.
  • 1.5. Usage Limits: Registration grants the User a non-transferable right to a single redemption of each available ARC offer. Offer availability is subject to change without notice.
  • 1.6. Verification: The Company reserves the right to request proof of purchase at any time. We further reserve the right, at our sole discretion, to void any registration deemed fraudulent, unauthorised, or otherwise in breach of these Terms.

2. Data Protection and Privacy

  • 2.1. Processing of Data: By registering for ARC, the User acknowledges that the Company will collect, store, and process personal data for the purpose of administering the registration and providing the Service.
  • 2.2. Marketing Communications: Personal data will not be utilised for marketing purposes unless the User provides express opt-in consent during the registration process.
  • 2.3. Third-Party Disclosure: The Company shall protect User information in accordance with applicable data protection laws and will not disclose personal information to third parties, except as required to fulfill the Service or by law.
  • 2.4. Analytics: We utilise Google Analytics and cookies to monitor promotional performance on an anonymous basis.
  • 2.5. Privacy Policy: All data handling is governed by our Privacy Policy, which is incorporated herein by reference.

3. General Terms of Service

  • 3.1. Modification of Offers: The Company reserves the right to modify, suspend, or terminate any offer within the ARC initiative at its sole discretion. Any unused promotional codes associated with a cancelled offer shall be rendered null and void.
  • 3.2. Purchase Validity: The Company reserves the right to refuse the redemption of any offer if the qualifying product was purchased after the stated expiration date of the promotion.
  • 3.3. Non-Transferability: ARC accounts are strictly personal and non-transferable. Any attempt to sell, trade, or transfer an account will result in immediate termination.

4. Termination and Suspension

  • 4.1. Breach of Terms: If the User fails, or the Company has reasonable grounds to suspect the User has failed, to comply with any provision of these Terms, the Company may, without prior notice:
    • (i) Terminate this Agreement and/or the User’s ARC membership;
    • (ii) Revoke any associated software licenses; and/or
    • (iii) Preclude further access to the Services.
  • 4.2. Service Discretion: The Company reserves the right to modify or discontinue the Service (or any part thereof) at any time. The Company shall not be liable to the User or any third party for any such modification or cessation.

5. Intellectual Property Rights

  • 5.1. Ownership: The User acknowledges that the Service - including but not limited to graphics, user interfaces, audio/video clips, editorial content, and software - contains proprietary information owned by Audient and its partners. This content is protected by international intellectual property laws, including copyright and trademark statutes.
  • 5.2. Restricted Use: The User is granted a limited, non-exclusive license for personal, non-commercial use only. Users shall not reproduce, modify, rent, lease, sell, or distribute the Service or its content in any unauthorised manner.
  • 5.3. Trademarks: "Audient," the Audient logo, "ARC," and other marks are registered trademarks of Audient. No right or license is granted to the User regarding these marks or the marks of Audient’s promotional partners.

6. Third-Party Links and Services

  • 6.1. External Content: The Service may contain links to third-party websites. These links are provided for convenience only; Audient does not endorse and has no control over the content, privacy policies, or practices of third-party entities.
  • 6.2. Limitation of Liability: The Company shall not be held responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by the use of or reliance on any content, goods, or services available via third-party websites.

7. Amendments to Terms

  • 7.1. Right to Amend: The Company reserves the right to update or replace these Terms at its sole discretion.
  • 7.2. Material Changes: For revisions deemed "material," we will endeavor to provide at least 30 days' notice prior to the new terms taking effect. The definition of "material" remains at the sole discretion of the Company. Continued use of the Service following such changes constitutes acceptance of the new Terms.

8. Governing Law

8.1. These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.
